Terms and Conditions
- Effective Date: January 29, 2025
- Last Updated:October 21, 2026
These Terms & Conditions (“Terms”) govern your access to and use of the SDKare LLC (“SDKare,” “Company,” “we,” “us,” or “our”) website, appointment scheduling, telehealth services, patient communications, payment services, and related features.
By accessing our website, creating an account, scheduling an appointment, purchasing a service, or receiving healthcare through SDKare, you agree to the applicable Terms and policies presented to you, subject to applicable law.
Please read these Terms carefully before using SDKare services.
Nothing in these Terms limits patient rights, healthcare protections, or legal remedies that cannot lawfully be waived under federal or state law.
1. Definitions
For purposes of these Terms:
- SDKare: SDKare LLC, the legal entity operating the SDKare telehealth platform.
- Website: The official SDKare website at https://sdkare.com/ and related digital services.
- Services: Healthcare, telehealth access, scheduling, administrative support, payment processing, and related services made available through SDKare.
- Healthcare Provider or Provider: A licensed healthcare professional authorized to provide care through SDKare.
- Patient, User, or You: An individual accessing the Website or using SDKare services.
- Telehealth: Healthcare services delivered using electronic communication technologies.
- Initial Appointment: A patient’s first scheduled consultation for the applicable service.
- Late Cancellation: Cancellation less than 24 hours before the scheduled appointment start time.
- No-Show: Failure to attend a scheduled appointment without providing notice of cancellation or rescheduling.
- Same-Day Initial Appointment: An initial appointment booked by a new patient for the same calendar day.
2. Eligibility
SDKare healthcare services are available to individuals aged 18 years or older.
By using SDKare, you confirm that:
- You are at least 18 years old.
- The information you provide is accurate and complete.
- You are accessing services for yourself unless legally authorized to act on behalf of another individual.
- You will maintain accurate contact, billing, and healthcare information.
- You will comply with applicable laws and these Terms.
Service availability depends on patient location, provider licensure, clinical appropriateness, and applicable law.
SDKare may restrict access where information is materially inaccurate, fraudulent, incomplete, or inconsistent with legal requirements.
3. Nature and Scope of SDKare Services
SDKare provides access to healthcare services through telehealth.
Depending on availability and clinical eligibility, services may include:
- Mental and behavioral healthcare.
- Online therapy and counseling.
- Primary care consultations.
- Weight management and weight-loss care.
- Women’s healthcare.
- Men’s healthcare.
- Addiction-related healthcare services.
- Pain management consultations.
- Medication management.
- Emotional Support Animal (ESA) evaluations and letters, where clinically and legally appropriate.
- Follow-up consultations and related healthcare services.
The availability and scope of services may vary by state, treating provider, and clinical circumstances.
Not every service is available in every jurisdiction.
Additional service-specific eligibility, consent, prescribing, payment, or clinical conditions may apply and will be communicated where applicable.
SDKare does not guarantee that every requested service, treatment, or provider will be available to every patient.
4. Clinical Care and Independent Professional Judgment
Healthcare services are provided by appropriately licensed professionals exercising independent clinical judgment.
SDKare’s scheduling, support, and administrative functions do not require a provider to:
- Make a particular diagnosis.
- Prescribe a requested medication.
- Recommend a specific treatment.
- Approve a medication refill.
- Issue an ESA letter.
- Order a particular test.
- Provide a referral.
- Guarantee a specific clinical outcome.
Clinical decisions are based on the patient’s medical information, applicable professional standards, clinical needs, and legal requirements.
Payment for an appointment covers the applicable professional services and does not guarantee a particular diagnosis, prescription, treatment, documentation, or outcome.
5. Provider-Patient Relationship
Accessing the SDKare website, reading educational information, contacting Patient Support, or scheduling an appointment does not, by itself, establish a provider-patient relationship.
A provider-patient relationship is established when a licensed healthcare provider begins providing clinical care and applicable legal requirements have been satisfied.
Website content and administrative communications do not constitute individualized medical advice.
SDKare administrative personnel cannot independently diagnose conditions, prescribe medications, or make treatment decisions.
6. Telehealth Services and Informed Consent
SDKare offers healthcare services through electronic communication technologies, including video consultations.
Telehealth may provide convenient access to healthcare, but patients should understand its nature, potential benefits, risks, limitations, and alternatives before agreeing to receive care remotely.
6.1 Nature of Telehealth
Telehealth allows qualified healthcare professionals to evaluate symptoms, discuss medical concerns, develop treatment recommendations, provide follow-up care, and prescribe medications when clinically appropriate and legally permitted.
Some conditions cannot be adequately evaluated or treated through telehealth alone.
6.2 Potential Benefits
Telehealth may offer:
- Access to licensed healthcare professionals without traveling to a clinic.
- Convenient appointment scheduling.
- Remote follow-up consultations.
- Support for appropriate ongoing treatment.
- Reduced travel and related practical burdens.
These benefits are not guaranteed for every patient or clinical situation.
6.3 Risks and Limitations
Patients acknowledge that telehealth may involve:
- Limitations associated with the absence of a hands-on physical examination.
- Technical failures or connectivity interruptions.
- Potential delays when further diagnostic evaluation is necessary.
- Privacy and cybersecurity risks associated with electronic communication.
- The need for laboratory testing, imaging, specialist care, or in-person treatment.
- Limitations on prescribing certain medications remotely.
A provider may discontinue or recommend an alternative to a telehealth consultation when remote treatment is clinically inappropriate.
6.4 Patient Responsibilities During Telehealth
Patients should:
- Provide accurate and complete health information.
- Disclose their physical location during each appointment.
- Participate from a private location whenever reasonably possible.
- Use appropriate devices and internet connectivity.
- Inform providers of relevant technical problems.
- Ask questions about treatment recommendations and telehealth limitations.
- Seek appropriate in-person or emergency care when necessary.
6.5 Consent to Telehealth Care
Before telehealth treatment is provided, SDKare or the treating provider will obtain and document informed consent as required by applicable law.
Consent requirements vary by state and may involve written, electronic, or verbal consent, depending on the applicable legal requirements.
Patients may ask questions about the proposed telehealth services, risks, benefits, and available alternatives before providing consent.
Acceptance of these Terms alone does not replace a separate informed consent process required by law.
6.6 Right to Decline or Withdraw Consent
Patients may decline telehealth services or withdraw consent for future telehealth treatment, subject to applicable law.
A decision to decline or withdraw consent does not automatically make previously provided healthcare services refundable.
Applicable cancellation and refund arrangements are governed by SDKare’s Refund Policy and legal requirements.
6.7 Privacy During Telehealth
SDKare handles protected health information according to applicable privacy and security laws, including HIPAA where applicable.
Patients should take reasonable steps to protect privacy during appointments.
Further information is available in SDKare’s Privacy Policy and HIPAA Notice of Privacy Practices.
6.8 Separate Telehealth Informed Consent
Patients may be required to complete a separate Telehealth Informed Consent before receiving clinical services.
Where required by law, consent will be appropriately obtained and documented by the responsible healthcare provider or SDKare.
7. Patient Location and Provider Licensure
Patients must accurately disclose their physical location at the time of every telehealth appointment.
Healthcare providers must be licensed, registered, or otherwise authorized to practice in the jurisdiction where the patient is physically located.
SDKare may be unable to provide or continue care if:
- The patient’s location cannot be verified.
- The assigned provider lacks the necessary authorization.
- Applicable state law restricts the requested service.
- Telehealth is not clinically appropriate.
- Required clinical or regulatory conditions cannot be met.
Patients traveling to another state should notify SDKare before their appointment.
8. Patient Responsibilities
Patients are responsible for supplying accurate information relevant to their care.
Information may include:
- Current symptoms and concerns.
- Medical and mental health history.
- Existing diagnoses.
- Current medications and treatments.
- Medication allergies.
- Previous adverse reactions.
- Substance use history where clinically relevant.
- Pregnancy status where clinically relevant.
- Relevant medical records and laboratory results.
- Previous treatment and prescription history.
Patients should inform their providers about changes in symptoms, medication use, or other relevant health information.
Patients should ask questions when they do not understand their diagnosis, medication instructions, treatment recommendations, or follow-up plan.
Patients must not provide intentionally false information to obtain medications, prescriptions, or other healthcare services.
9. Appointments and Scheduling
Appointments are subject to provider availability, patient eligibility, applicable law, and clinical appropriateness.
Same-day appointments may be available for certain services but are not guaranteed.
SDKare may need to reschedule or cancel appointments because of provider availability, emergencies, licensure restrictions, technology issues, clinical considerations, or operational circumstances.
Patients should attend appointments at the scheduled time.
A patient arriving more than 15 minutes late may be considered late. If insufficient consultation time remains, the provider may be unable to complete the visit.
A late arrival that cannot reasonably be accommodated may be handled as a missed appointment under the applicable Patient No-Show and Late Cancellation Policy.
10. Self-Pay Healthcare Services
SDKare operates on a self-pay basis.
SDKare does not accept insurance as payment for its services and does not submit insurance claims on patients’ behalf.
Patients are responsible for the charges associated with their selected appointments and services.
Payment is generally required at the time of booking unless different terms are disclosed before purchase.
SDKare does not guarantee reimbursement from health insurance providers.
Patients seeking reimbursement independently are responsible for determining whether any reimbursement is available.
Eligible patients retain all applicable rights concerning healthcare billing transparency and Good Faith Estimates under federal law.
11. No Memberships, Subscriptions, or Automatic Renewals
SDKare does not operate a recurring subscription or membership payment model.
Patients pay for individual healthcare appointments or services.
Booking or paying for an appointment does not authorize automatic charges for future appointments or ongoing memberships.
Additional services require applicable payment disclosures and authorization.
12. Payments, Pricing, and Billing Responsibilities
Patients must review the applicable service price and payment terms before completing a transaction.
By submitting authorized payment information, patients authorize SDKare LLC or its authorized payment processor to charge the disclosed amount for the selected purchase.
Patients are responsible for:
- Providing accurate billing information.
- Using an authorized payment method.
- Reviewing applicable appointment prices.
- Paying properly disclosed and authorized service charges.
- Reviewing cancellation and rescheduling conditions.
- Reporting suspected billing errors.
Initial visits, follow-up appointments, and different healthcare services may carry different charges.
Additional services may involve separate payment.
Any applicable cancellation or no-show fee must be appropriately disclosed and legally permissible.
Further details are provided in SDKare’s Payment Policy for Clients.
13. Cancellations, No-Shows, Rescheduling, and Refunds
SDKare maintains appointment cancellation and rescheduling policies to support patient access, appointment availability, and appropriate scheduling of clinical time.
Unless a lawfully disclosed service-specific exception applies, the following standard rules govern appointments.
13.1 Cancellations at Least 24 Hours Before an Appointment
Patients who cancel an appointment at least 24 hours before its scheduled start time are generally eligible for a refund of the applicable appointment service fee.
A separately disclosed and legally permissible non-refundable booking condition may apply.
No late-cancellation or no-show fee applies to a properly canceled appointment with at least 24 hours’ notice.
13.2 Cancellations Less Than 24 Hours Before an Appointment
An appointment canceled less than 24 hours before its scheduled start time is a late cancellation.
Under SDKare’s standard policy, the original appointment fee is non-refundable.
The patient may request rescheduling, with the original appointment payment applied toward the rescheduled visit.
13.3 First Late Cancellation
The first qualifying late cancellation is exempt from the $25 late-cancellation fee.
The original appointment payment remains non-refundable but is applied toward the rescheduled appointment.
The fee waiver does not create a right to a refund.
13.4 Subsequent Late Cancellations
Subsequent qualifying late cancellations are subject to a $25 fee.
The fee must be paid before rescheduling, unless already paid.
The original appointment payment remains non-refundable and is applied toward the rescheduled visit.
The $25 fee is assessed separately and is not deducted from a refund.
13.5 First No-Show
A patient’s first qualifying no-show is eligible for one complimentary rescheduling opportunity.
No $25 no-show fee applies.
The original appointment payment is applied toward the rescheduled visit and is not automatically refunded.
13.6 Subsequent No-Shows
Subsequent qualifying no-shows are generally subject to a $25 fee.
The applicable fee must be paid before rescheduling, unless already paid or an applicable exception applies.
13.7 Same-Day Initial Appointments
Initial appointments booked by new patients for the same calendar day are non-refundable when canceled or missed by the patient.
One complimentary rescheduling opportunity is available.
The original appointment payment is applied toward the rescheduled visit.
No additional $25 no-show fee applies to a missed same-day initial appointment when the original non-refundable payment has been retained.
Existing patients remain subject to the standard appointment rules unless separately disclosed lawful conditions apply.
13.8 Separate First-Occurrence Waivers
SDKare tracks no-shows and late cancellations separately.
Patients generally receive one first-occurrence waiver for each category.
If a no-show and late cancellation occur within 24 hours of one another, only one first-occurrence waiver may be applied to the two events, with the waiver applying to whichever event occurred first.
The second event is subject to the applicable $25 fee, except where another expressly stated exception applies.
13.9 Late Cancellation After an Initial No-Show
If a patient misses an initial appointment, receives complimentary rescheduling, and then cancels the rescheduled visit less than 24 hours before its start time, a $25 late-cancellation fee applies.
This special exception applies even when the first-occurrence late-cancellation waiver has not previously been used.
The fee must be paid before another rescheduling request can be completed, unless already paid.
13.10 Three Consecutive Cancellations
If a patient cancels appointments three consecutive times, SDKare may review the patient’s scheduling arrangements regardless of whether the cancellations occurred within or outside the 24-hour window.
Additional scheduling conditions may be applied where legally permissible and appropriately communicated.
Any additional charge must be disclosed before it applies.
This provision does not independently authorize an unspecified cancellation charge.
13.11 Completed Consultations
Appointment fees are generally non-refundable after the scheduled healthcare consultation has been provided, except where otherwise required by law.
A provider’s decision not to prescribe a requested medication or recommend a particular treatment does not independently make a completed consultation refundable.
13.12 Provider-Initiated Cancellations and Technical Issues
Where SDKare or the healthcare provider cancels an appointment before care is provided, no patient late-cancellation or no-show fee applies.
Depending on the circumstances and applicable law, the patient may be offered rescheduling or a refund.
Technical issues attributable to SDKare or the provider will be reviewed for an appropriate resolution.
Patient-side technical issues do not automatically establish eligibility for a refund.
13.13 Related Policies
Complete details are provided in SDKare’s:
- Refund Policy.
- Patient No-Show and Late Cancellation Policy.
- Payment Policy for Clients.
Service-specific exceptions, where applicable, must be appropriately disclosed before purchase.
Nothing in this section restricts legally protected refund, dispute, or consumer rights.
14. Prescriptions and Medication Management
Prescriptions are issued only when a licensed healthcare provider determines that medication is clinically appropriate and legally permitted.
Payment for a consultation does not guarantee a prescription.
Prescribing decisions may consider:
- Diagnosis and symptoms.
- Medical and mental health history.
- Current medications.
- Potential medication interactions.
- Allergies and contraindications.
- Previous treatment.
- Clinical risks.
- Applicable law.
- Provider scope of practice.
Providers may recommend additional evaluation, alternative treatment, or in-person care.
Patients should use prescribed medication according to the treating provider’s instructions.
15. Controlled Substance Prescribing
Controlled-substance prescriptions are subject to additional federal and state restrictions, clinical requirements, and SDKare’s internal prescribing policies.
Qualifying DEA-registered providers may prescribe certain Schedule II through V controlled substances through telemedicine under federal flexibilities currently extended through December 31, 2026, provided all applicable conditions are met.
These temporary flexibilities do not guarantee a controlled-substance prescription and do not override state laws or SDKare’s internal prescribing restrictions.
15.1 SDKare’s 28-Day Controlled Substance Policy
SDKare applies a 28-day prescribing restriction to all controlled-substance medications.
Under this policy:
- Routine early prescription renewals or replacements are not permitted before 28 days have elapsed from the previous pharmacy fill date.
- Changes to another controlled medication within the same therapeutic category are not permitted during the restricted 28-day period.
- The restriction applies to requests involving lost, stolen, damaged, or misplaced medication.
- The 28-day period begins on the date the prescription was filled by the pharmacy, not the date it was written.
- Completing the 28-day period does not guarantee that another prescription will be issued.
This 28-day restriction is SDKare’s internal prescribing policy and is not a universal federal requirement for all controlled medications.
Schedule II prescriptions cannot be refilled under federal law; continued therapy requires a legally appropriate new prescription.
15.2 Clinical Concerns and Medical Emergencies
Patients experiencing side effects, adverse reactions, potential withdrawal symptoms, or other medication concerns should promptly seek appropriate medical evaluation.
A clinical evaluation does not automatically authorize an early controlled-substance prescription or a medication change within the restricted period.
Patients experiencing a medical emergency should call 911 or visit the nearest emergency department.
SDKare does not provide emergency controlled-substance replacements.
The prescribing policy does not override applicable law or a provider’s professional responsibilities concerning patient safety.
15.3 Additional Clinical Requirements
Providers may require medical records, pharmacy records, prescription monitoring program reviews, laboratory testing, an in-person examination, or follow-up care where clinically or legally appropriate.
Detailed prescribing conditions are addressed in SDKare’s DEA and Telemedicine Prescribing Policy.
16. Pharmacy Services and Medication Fulfillment
How patients obtain prescription medication depends on the selected service and applicable purchase terms.
16.1 Prescription-Only Services
For applicable services, a provider may issue a prescription when clinically appropriate.
The patient is responsible for purchasing medication separately from an appropriate pharmacy unless the selected service expressly includes medication.
16.2 Medication-Inclusive Services
SDKare may offer certain services with medication included in the disclosed purchase arrangement.
When a service includes medication, the applicable service description must identify the included items, payment terms, and relevant fulfillment conditions before purchase.
Medication may be supplied or dispensed through an appropriately authorized third party, depending on the service.
A clinical evaluation does not guarantee that a prescription will be issued.
Any service-specific cancellation or refund conditions must be separately disclosed where applicable and remain subject to law.
16.3 Pharmacy Independence
Independent pharmacies control their dispensing decisions, inventory, pricing, and applicable pharmacy procedures.
Receiving a prescription does not guarantee that the pharmacy will dispense the medication.
Patients should contact the pharmacy regarding medication availability or dispensing issues.
17. Service-Specific Clinical Requirements
Different SDKare services may involve additional clinical eligibility requirements, evaluations, documentation, or follow-up procedures.
17.1 Mental Health and Online Therapy
Mental health evaluations, counseling, and therapy are provided by appropriately authorized healthcare professionals.
Depending on clinical circumstances, providers may recommend additional evaluation, in-person services, or a higher level of care.
Therapy appointments and psychiatric medication management may involve different clinical requirements.
17.2 Addiction-Related Healthcare
Addiction-related care may require additional evaluation, monitoring, referral, or coordination with other healthcare professionals.
Any use or disclosure of records subject to specialized substance use disorder confidentiality requirements will be governed by applicable law.
Availability of addiction treatment does not guarantee access to a particular medication or treatment program.
17.3 Pain Management
Pain-related consultations may include clinical assessment, treatment recommendations, or referral.
SDKare does not guarantee opioid prescriptions or other controlled-substance treatment.
The applicable prescribing and 28-day restrictions remain in effect.
17.4 Weight Management
Weight management services may include medical evaluations, treatment planning, medication management where appropriate, and follow-up care.
Available service arrangements may differ, and additional purchase terms must be disclosed before payment.
17.5 Emotional Support Animal Evaluations
An ESA evaluation does not guarantee that an Emotional Support Animal letter will be issued.
Documentation is provided only when a qualified healthcare professional determines it is clinically appropriate and legally permissible.
Applicable documentation requirements and professional standards must be satisfied.
18. Privacy and Protected Health Information
SDKare handles protected health information according to applicable federal and state privacy laws, including HIPAA where applicable.
Patients should review:
- SDKare’s Privacy Policy.
- HIPAA Notice of Privacy Practices.
- HIPAA Privacy and Security Policy.
These documents explain applicable privacy protections, uses and disclosures of information, and patient rights.
19. Privacy During Telehealth
Patients should take reasonable measures to protect privacy during virtual appointments.
When possible, patients should:
- Attend from a private location.
- Use a trusted device.
- Maintain a secure internet connection.
- Avoid unsecured public networks.
- Use headphones when others may overhear.
- Protect passwords and account access.
Electronic communications may involve privacy or cybersecurity risks despite reasonable safeguards.
20. Technology Requirements
Patients are responsible for having equipment reasonably capable of supporting a telehealth appointment.
This may include:
- A compatible computer, tablet, or smartphone.
- Reliable internet access.
- A functioning camera where required.
- Microphone and speaker access.
- Compatible software or browser access.
Technical failures may delay or prevent appointments.
Any resulting cancellation, no-show, or refund issue will be addressed under the applicable SDKare policies and legal requirements.
21. Electronic Communications
By providing contact information and requesting services, patients may receive communications reasonably necessary to administer those services, subject to applicable consent and communication laws.
Such communications may include:
- Appointment confirmations.
- Appointment reminders.
- Scheduling changes.
- Billing notifications.
- Patient Support responses.
- Administrative notices.
Marketing communications, where offered, require any consent mandated by applicable law and will include legally required opt-out mechanisms.
Patients may opt out of eligible SMS programs using the applicable instructions, including replying STOP where supported.
Opting out of marketing communications does not necessarily prevent essential healthcare or legally required communications.
22. Emergency Medical Care
SDKare is not an emergency medical service.
Patients should not use SDKare appointments, website forms, email, or routine Patient Support channels to seek emergency medical treatment.
For a medical or psychiatric emergency, call 911 or visit the nearest emergency department.
Individuals in the United States experiencing a mental health crisis or suicidal thoughts may call or text 988 for crisis support.
23. Educational Content and Medical Disclaimer
Information presented on the SDKare website is intended for general educational purposes.
Website content does not independently constitute:
- Individualized medical advice.
- A medical diagnosis.
- A prescription.
- A personalized treatment recommendation.
- A substitute for professional medical care.
Patients should not start, stop, or change prescribed medication solely based on general website information.
24. Account Security
Where SDKare provides patient accounts or portal access, users are responsible for maintaining the confidentiality of their login credentials.
Users should:
- Maintain secure passwords.
- Avoid sharing account credentials.
- Prevent unauthorized access.
- Notify SDKare of suspected account misuse.
- Maintain accurate contact information.
SDKare may restrict account access when reasonably necessary to address suspected security problems, subject to applicable legal and patient-care requirements.
25. Prohibited Conduct
Users must not use SDKare services to:
- Engage in unlawful activity.
- Misrepresent identity.
- Provide intentionally false medical or billing information.
- Fraudulently obtain prescriptions or healthcare services.
- Access another patient’s confidential information.
- Interfere with website security.
- Introduce malicious software.
- Attempt unauthorized access.
- Threaten or harass healthcare providers or staff.
- Commercially exploit protected content without authorization.
Access may be restricted where reasonably necessary to protect patients, personnel, systems, and legal compliance.
Any action affecting established clinical care will be subject to applicable professional and continuity-of-care obligations.
26. Intellectual Property
Unless otherwise stated, original SDKare website content, branding, graphics, design elements, software, and related materials are owned by SDKare LLC or licensed from authorized rights holders.
These materials are protected under applicable intellectual property laws.
Users may access website materials for lawful personal, non-commercial purposes.
Unauthorized reproduction, distribution, modification, resale, or commercial exploitation is prohibited except as permitted by law.
27. Third-Party Services
SDKare may use independent third parties to support functions such as:
- Payment processing.
- Appointment scheduling.
- Communications.
- Technology infrastructure.
- Laboratory services.
- Pharmacy services.
- Other administrative or healthcare-related activities.
Independent third parties may maintain their own terms, billing procedures, and privacy notices.
SDKare’s use of third-party providers does not eliminate its legal obligations regarding authorized vendors or business associates that handle protected health information.
28. Service Availability and Changes
SDKare does not guarantee continuous availability of:
- A particular healthcare provider.
- A specific appointment time.
- A particular healthcare service.
- A requested medication.
- A specific pharmacy.
- Website or platform functionality.
SDKare may modify, suspend, or discontinue services or non-clinical features when reasonably necessary.
Changes affecting purchased services or an existing provider-patient relationship will be handled in accordance with applicable contractual, professional, and legal requirements.
29. No Guarantee of Clinical Outcomes
Healthcare outcomes vary between patients.
SDKare and its providers do not guarantee a particular outcome from treatment, medication, therapy, clinical evaluation, or other healthcare services.
Treatment recommendations depend on professional clinical judgment, the information available during the evaluation, and applicable standards of care.
The absence of a desired clinical outcome does not, by itself, make a completed healthcare consultation eligible for a refund.
Nothing in this section removes remedies available under applicable law.
30. Website and Technology Disclaimer
SDKare seeks to maintain reliable website and digital services but does not guarantee uninterrupted availability of non-clinical technology features.
To the extent permitted by law, the website and non-clinical technology services are provided on an “as available” basis.
This provision does not reduce the professional duties of licensed healthcare providers or eliminate remedies required when purchased services are not delivered.
31. Limitation of Liability
To the maximum extent permitted by applicable law, SDKare LLC will not be liable for indirect, incidental, special, or consequential damages arising solely from use of, or inability to access, the website or non-clinical technology services.
Nothing in these Terms is intended to:
- Waive rights that cannot legally be waived.
- Exclude liability that cannot lawfully be excluded.
- Limit healthcare providers’ professional duties.
- Override patient privacy protections.
- Eliminate legally required refunds or remedies.
- Exclude liability for professional negligence or other conduct where such exclusion is prohibited.
Any limitation will be interpreted in accordance with applicable federal and state law.
32. Severability
If any provision of these Terms & Conditions is determined by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision will be unenforceable only to the extent of the invalidity or unenforceability.
The remaining provisions will continue in effect to the extent they can lawfully operate independently and doing so is consistent with applicable law.
Where legally permissible, an unenforceable provision may be interpreted or limited to the extent necessary to make it enforceable without materially changing its intended purpose.
Nothing in this section permits SDKare LLC to enforce a provision that violates applicable federal or state law or limits patient rights and protections that cannot lawfully be waived.
33. Suspension, Termination, and Discontinuation of Services
33.1 Suspension or Restriction of Website Access
SDKare LLC may suspend, restrict, or terminate access to its website, patient accounts, or non-clinical digital services when reasonably necessary due to:
- Fraudulent or unauthorized account activity.
- Materially inaccurate or misleading information.
- Violations of these Terms.
- Threatening, abusive, or unlawful conduct.
- Suspected misuse of services or systems.
- Security or privacy concerns.
- Applicable legal or regulatory requirements.
Any restriction will be subject to applicable law and the circumstances involved.
33.2 Discontinuation of Healthcare Services
Healthcare services may be discontinued or modified when clinically appropriate, legally required, or otherwise permissible under applicable professional standards.
An established provider-patient relationship will not be terminated solely through the suspension of website access without consideration of applicable professional and continuity-of-care obligations.
Where required, patients will receive appropriate notice and information concerning continued treatment, alternative care, or transfer of care.
33.3 Patient-Initiated Discontinuation
Patients may choose to stop using SDKare services or request closure of an applicable patient account, subject to legal and operational requirements.
Discontinuing services does not automatically cancel previously scheduled appointments or create a right to a refund.
Applicable appointment cancellations, outstanding payment obligations, and refunds remain governed by SDKare’s Refund Policy, Payment Policy for Clients, and Patient No-Show and Late Cancellation Policy.
33.4 Medical Records and Continuing Obligations
Account closure or discontinuation of services does not automatically require deletion of medical records that SDKare or its healthcare providers are legally required to maintain.
Personal information and medical records will continue to be handled in accordance with applicable privacy, security, and record retention requirements.
Provisions concerning accrued payment obligations, intellectual property, lawful limitations of liability, dispute resolution, and other provisions that by their nature are intended to survive termination will remain applicable to the extent permitted by law.
34. Complaints and Dispute Resolution
34.1 Contacting SDKare About a Concern
Patients who have concerns regarding appointments, payments, refunds, account access, or other administrative matters are encouraged to contact SDKare Patient Support.
SDKare LLC
Email: contact.support@sdkare.com
Phone: (520) 800-6043
Mailing address: 2810 N Church St, Wilmington, DE 19802, United States
SDKare may request information reasonably necessary to identify the patient, relevant transaction, or concern before reviewing the matter.
34.2 Informal Resolution
Where appropriate, SDKare and the individual raising a concern may attempt to resolve the matter through direct communication.
This process may include reviewing relevant records, clarifying applicable policies, correcting verified errors, or identifying an appropriate resolution.
Informal resolution is encouraged but is not a mandatory prerequisite to exercising legal rights, filing regulatory complaints, or pursuing other remedies where such a requirement would be unlawful.
34.3 Billing and Payment Disputes
Billing concerns, refund requests, and payment discrepancies are governed by SDKare’s applicable Payment Policy for Clients and Refund Policy.
Patients retain their rights to dispute eligible transactions through financial institutions, payment-card issuers, or other legally available processes.
Nothing in these Terms restricts rights provided under applicable consumer protection or healthcare billing laws.
34.4 Healthcare and Privacy Complaints
Patients may raise concerns regarding healthcare services through appropriate SDKare channels or with relevant licensing, regulatory, or professional authorities.
Privacy complaints may be directed to SDKare’s designated Privacy Officer or submitted to the U.S. Department of Health and Human Services Office for Civil Rights where applicable.
SDKare prohibits retaliation for the lawful exercise of protected patient or privacy rights.
34.5 Legal Proceedings
If a dispute cannot be resolved informally, either party may pursue any legal rights, claims, or remedies available under applicable federal or state law.
Any legal proceeding must be brought before a court or other body with appropriate jurisdiction, subject to applicable legal requirements.
These Terms do not establish mandatory arbitration, impose an exclusive court venue, or require either party to waive the right to participate in a class or collective action.
Nothing in this section limits or waives any patient rights, statutory protections, professional liability claims, or access to regulatory, administrative, or judicial remedies that cannot lawfully be restricted.
35. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions, except where mandatory provisions of another applicable jurisdiction or federal law control.
Healthcare services are additionally governed by the laws and professional requirements applicable in the jurisdiction where the patient is physically located and where the treating provider is authorized to practice.
36. Relationship to Other SDKare Policies
These Terms should be read together with SDKare’s:
- Privacy Policy.
- HIPAA Notice of Privacy Practices.
- HIPAA Privacy and Security Policy.
- Refund Policy.
- Payment Policy for Clients.
- Patient No-Show and Late Cancellation Policy.
- DEA and Telemedicine Prescribing Policy.
Where another policy addresses a particular subject in greater detail, its applicable provisions govern that subject to the extent permitted by law.
Any lawfully disclosed service-specific terms may also apply to the selected healthcare service.
Nothing in these Terms restricts rights that cannot lawfully be waived.
